Tyent USA Water Ionization Company “Win Your Own Raw Food Show” Contest Rules

•          No purchase necessary. To enter, you must submit your name, address, phone number, a valid email address, Twitter address, and video showcasing two (2) of your own favorite original raw food recipes. Contest is only open to residents of theUnited States.  You must be at least twenty-one (21) years of age to enter.

•          All video submissions together with all other required information must be emailed to rawfoodshow@tyentusa.com.   All entries must be received by us at the foregoing email address no later than 6:00PM (EST) Tuesday, January 10, 2012

•          The winners will be determined by Tyent USA and notified by Tyent USA via email or Twitter within fifteen (15) days of the close of the contest and shall have forty-eight (48) hours to reply to their notification email and claim their prizes.  The unclaimed prizes may be forfeited or another winner may be chosen, at our discretion. The decisions of TyentUSAwith respect to the contest are final.

• Prizes: Shall consist of one (1) Grand Prize winnerand one (1) Second Place winner.  Each winner will be chosen by a representative of Tyent USA based on the following criteria: (a) on-screen camera personality, appearance and confidence, (b) originality and creativity of recipes presented, and (c) knowledge on the subject of raw food and alkaline food, include the health benefits of each.

• Contest prizes are not transferable. Prizes may not be substituted for or redeemed for cash. TyentUSAreserves the right to substitute a prize of equal or greater value if an advertised prize becomes unavailable.

• Each winner will be required to complete and return an IRS Form W-9 form or the equivalent (if prize value exceeds $600.00), affidavit of eligibility, and liability/publicity release, and present a valid driver’s license and social security card before prize will be awarded. Winners of prizes greater than $600.00 will be issued a 1099 form reflecting the value of the prize(s) and are responsible for paying all income taxes on prize(s). Failure or refusal to execute any required documentation or releases will result in winner forfeiting the prize.

• Winners shall be solely responsible for paying all state, local and federal taxes, if any.

• · Grand Prize: Subject to the remaining provisions below, and by entering into this contest, the selected Grand Prize winner agrees to appear in eight (8) episodes running 3-10 minutes in duration showcasing eight (8) of their own favorite raw food recipes (i.e. 1 recipe per episode), which episodes will be broadcast on Welltech TV (each group of eight episodes shall constitute a “Show”).

• The Grand Prize winner must be prepared to showcase a minimum of eight (8) original recipes for the Show, and to utilize any tools or product at TyentUSA’s request. The Grand Prize winner must inform Tyent USA of any special equipment (e.g. food dehydrator) or utensils to be provided by Tyent USA or to be brought by the Grand Prize winner (subject to Tyent USA’s reasonable approval), and food ingredients necessary for food preparation at least ten (10) days in advance of the scheduled shoot day for the Show.

• In entering into this contest and accepting the Grand Prize, the Grand Prize winner further agrees to appear in sixteen (16) additional episodes of 3-10 minutes in duration for a period of twenty-four (24) months following the taping of the first eight (8) episodes of the first Show, and to showcase a minimum of eight (8) additional original recipes on each episode for such Show.  TyentUSAreserves the right to cancel the foregoing additional episodes in its sole discretion, without any liability to the Grand Prize winner whatsoever.

• Except where prohibited by law, by participating in the contest, the Grand Prize winner agrees to have their name, voice, or likeness used by Tyent USA and Welltech TV in connection with the Show and in any advertising or promotional material relating to the Show or this contest without additional financial or other compensation except as specifically provided herein, and to sign a talent release prior to acceptance of the prize.

• In addition, the Grand Prize winner will receive a cash prize in the amount of $1,000 for appearing in each group of eight (8) episodes for each Show, as compensation for one-half day of food preparation plus one (1) full video shoot day to showcase the original raw food recipes, which shall be paid by company check following the Grand Prize winner’s satisfactory fulfillment of its obligations in connection with the Show.

• TyentUSAshall provide the Grand Prize winner with transportation to and from TyentUSA’sNew Jerseystudio, hotel accommodations and meals (or vouchers therefor), and the food ingredients requested by the Grand Prize winner for each Show appearance required to be made hereunder.  All transportation and hotel arrangements shall be at the discretion of TyentUSA.  The Grand Prize winner shall be solely responsible for any hotel incidentals or other expenses not specifically provided for herein.

• Following the initial show taping and provided the Grand Prize winner has materially performed the services required herein, Tyent will ship to the Grand Prize winner’s home, (a) a Tyent USA 9090 Turbo Water Ionizer ($3,495 retail value) and (b) a state of the art 1,500 watt Tyent USA commercial blender.

• The Grand Prize winner shall be required to advertise the Shows on their personal or company website, as well as their personal or company social networking sites such as Facebook, Twitter, Tumblr, MySpace, etc.

• · Second Place: The Second Place winner will receive a state of the art 1,500 watt TyentUSA commercial blender.

· Forfeiture/Indemnity: In the event Tyent USA and/or Welltech TV receive a valid third party claim contesting the originality of the recipes submitted and/or showcased by the Grand Prize winner, then the Grand Prize winner shall indemnify and hold Tyent USA, Welltech TV, their respective respective parents, subsidiaries, affiliates, directors, officers, employees, or agents harmless from and against any loss, liability or damage arising in connection with such third party claim, including without limitation, the return and/or reimbursement to Tyent USA and Welltech TV of all prizes heretofore delivered or paid.

• Tyent USA, Welltech TV, their respective advertising/promotion agencies, parents, subsidiaries, affiliates, directors, officers, employees, and agents, undertake no liability or responsibility, and make no warranties, express or implied, with respect to the performance of the prizes awarded, for any failure to perform or negligent performance of the prizes awarded, or for any other risk, incident or damage, direct or indirect, relating to or arising out of this contest, including but not limited to, cancellations, postponements, delays or other scheduling changes; missed events or connections or inability of winner to attend the taping of the Show, and accident, injury, death, damage or expense arising from or occurring during the use of the prizes, or travel to/from or attendance at the Show or any other event relating to the contest, by the winner and/or winner’s guest(s). Neither Tyent USA nor Welltech TV shall be responsible for damage to a prize or loss of a prize after the prize has been shipped to the winner, or for technical or other product failures or malfunctions, or lost, late, misdirected or damaged shipments, or any other error of any kind which may occur in the execution of this contest.
• By redeeming the prizes, each winner releases Tyent USA, Welltech TV, and their respective officers, directors, employees, representatives, licensees, advertising and other agents, of and from any and all claims whatsoever which the winner, the winner’s heirs, estate trustees or other personal legal representatives or assigns, have or may have arising out of or in any way related to this contest and/or the prizes.
• All videos and recipes submitted or showcased during the Show shall become the sole property of TyentUSAand Welltech TV.   Tyent USA and Welltech TV shall have the exclusive, unlimited, unfettered and perpetual right to use and exploit the recipes, the videos submitted and the Shows (including the Grand Prize winner’s appearances thereon), in any manner or medium, now known or hereafter known, without any further payment or compensation to the Grand Prize winner except as specifically set forth above.  The Grand Prize winner waives any and all rights of compensation in connection with TyentUSAor Welltech TV’s use or exploitation of the recipes, videos and/or Shows.
